Partner Memorial — Terms of Service

1. Business-to-Business Transactions Only

Partner Memorial operates exclusively as a wholesale supplier. All purchases made through this website constitute business-to-business (B2B) transactions. By placing an order, you represent and warrant that you are purchasing on behalf of a registered business entity — including but not limited to funeral homes, crematories, memorial service providers, and related commercial operations. This site is not intended for individual consumer purchases. If you are purchasing for personal, family, or household use, do not complete checkout.

2. Public Pricing; Commercial Terms

Product pricing is displayed publicly for transparency and to support informed purchasing decisions by qualified buyers. The visibility of pricing does not establish a retail or direct-to-consumer relationship. All transactions remain subject to these commercial Terms of Service regardless of how pricing is accessed or viewed.

3. Account Registration and Company Identification

Buyers are required to provide a valid company or business name at checkout. Partner Memorial reserves the right to verify business information and to cancel or refuse any order that does not appear to originate from a legitimate business entity. Providing false or misleading business information constitutes a violation of these Terms.

4. Right to Refuse or Cancel Orders

Partner Memorial reserves the right, at its sole discretion, to refuse, cancel, or limit any order for any reason, including but not limited to: suspected non-business use, incomplete or inaccurate business information, suspected fraud, unusual order patterns, or inventory constraints. No order is binding until confirmed and shipped by Partner Memorial.

5. No Consumer Relationship

By using this site and placing an order, you acknowledge that your transaction with Partner Memorial is a commercial transaction between business entities. Consumer protection statutes applicable to retail or direct-to-consumer sales — including but not limited to state consumer protection acts, cooling-off period regulations, and implied warranties of fitness for a particular consumer purpose — do not apply to transactions conducted under these Terms.

6. Product Information and Accuracy

Partner Memorial makes reasonable efforts to ensure that product descriptions, images, and specifications are accurate. However, all products are sold as-is for commercial use. Minor variations in color, dimensions, or finish may occur. Such variations do not constitute defects and are not grounds for return or refund.

7. Returns and Refunds

Returns are accepted only for products that arrive damaged or materially defective. Requests must be submitted within seven (7) calendar days of delivery. Cosmetic preferences, buyer remorse, and over-ordering are not eligible for return. All returns require prior authorization from Partner Memorial. See our Return Policy for full details.

8. Limitation of Liability

To the fullest extent permitted by law, Partner Memorial's total liability for any claim arising from or related to an order shall not exceed the purchase price of the specific product(s) at issue. Partner Memorial shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, lost revenue, or business interruption, regardless of the theory of liability.

9. Commercial Responsibility of Buyer

The buyer assumes full responsibility for the selection, use, resale, and presentation of products purchased from Partner Memorial. Partner Memorial is not responsible for how products are marketed, displayed, priced for resale, or represented to end consumers by the buyer. The buyer agrees to indemnify and hold harmless Partner Memorial from any claims arising from the buyer's downstream use or resale of products.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Florida.

11. Modifications

Partner Memorial reserves the right to update or modify these Terms at any time. Continued use of the site following any changes constitutes acceptance of the revised Terms.
